Technology due diligence for M&A.

We assess systems, architecture, licences, IT teams, technical debt and technology risks to support acquisitions and investments. We combine this analysis with AI-assisted document review and data rooms, delivering traceable findings for the deal team.

Context

Understanding the technology is part of assessing the business.

Architecture, vendor dependencies, licences, IT capabilities and technical debt can affect business continuity and future development. Technology due diligence brings these issues into view before an investment or acquisition decision.

We deliver a technical assessment with evidence, limitations and priorities to inform valuation and M&A decisions. We also organise data rooms and extract contract information using AI and human verification for counsel to assess.

Process

From the deal scope to technical findings.

The work combines technology assessment and document review, guided by the M&A team's questions and priorities.

Our approach

Technology and documents in one assessment.

  1. 01

    Findings with sources

Each finding identifies its source: a document, page, system or technical evidence examined.

  2. 02

A technical view of the asset

Systems, architecture, licences, IT teams and technical debt assessed in the context of the deal.

  3. 03

    Human verification by risk

Specialists concentrate on low-confidence and high-impact items, with sampling on the rest.

  4. 04

    Access controls

Data is stored and processed in Brazil, with permissions and access logs defined for the project.

Frequently asked questions

Do you replace the legal due diligence?
No. Lawyers assess the risks and advise the client; we deliver the extraction and organisation that make that assessment faster.
What does technology due diligence cover?
Systems, architecture, the IT team, software licences, technical debt and technology risks, reported as input to the deal valuation.
How accurate is the extraction?
Accuracy is measured by sampling and reported per clause type; low-confidence items always go to human review.
Can you review contracts outside a transaction?
Yes. Contract portfolios are extracted for clauses, terms, price adjustments and obligations, without legal opinion; counsel assesses what the findings mean.
Does our data train AI models?
We check each provider's and configuration's data-use, retention and training rules before processing documents. Applicable terms are documented for the project.
How is it charged?
Per volume of documents, or per project with a fixed scope. The proposal is in writing before work starts.
